Position Overview:

TD Securities is seeking an experienced and skilled Senior Legal Counsel to provide legal support across a variety of investment banking and capital markets activities. The role offers an exciting opportunity to work in a fast-paced, collaborative and high-performing environment, handling complex and broad-scope legal matters. You will play a key role in advising on M&A, corporate finance, corporate lending and capital markets transactions.

The successful candidate is lawyer with experience in Canadian capital markets transactions and securities regulatory matters at a large law firm and/or financial institution.

This position offers the opportunity for complex, challenging and rewarding work, with the opportunity to grow and develop legal skills.

Key Responsibilities:

• Provide legal counsel on investment banking and capital markets transactions, including M&A, corporate finance and corporate lending.
• Advise on regulatory and compliance matters related to capital markets activities.
• Draft, review and negotiate transaction document and agreements.
• Collaborate with internal stakeholders, including business teams and risk management, to ensure legal risks are effectively managed.
• Stay up to date on legal and regulatory developments impacting investment banking and capital markets.
• Support other legal matters as required in a dynamic and challenging environment.

Qualifications/Competencies/Accreditation:

• 6-8 years of legal experience, ideally gained at a large law firm or a mix of private practice and in-house roles.
• Strong background in M&A, corporate finance, corporate lending and capital markets transactions and regulatory matters.
• Strong analytical, problem-solving and decision-making skills.
• Ability to work effectively in a fast-paced, complex and ever-evolving environment.
• Excellent communication skills and the ability to provide clear, business-oriented legal advice.
• Qualified to practice law in the Province of Ontario.
